Welcome to Sayzi (“we,” “us,” or “our”), a language learning mobile application and website available at sayzi.app. By accessing or using the Sayzi app, website, or related services, you agree to these Terms and Conditions (“Terms”).

Please read them carefully. If you do not agree, do not use Sayzi.

1. Acceptance of Terms

By downloading, installing, accessing, or using Sayzi, you confirm that you:

• Must be at least 16 years old, or the minimum age required by local law in your jurisdiction, to use Sayzi.
  
• Have read, understood, and agree to be bound by these Terms, and
  
• Agree to our Privacy Policy, which governs how we collect and use your data.
  

2. Use of the Sayzi App

You may use Sayzi only for personal, non-commercial, educational purposes, and in accordance with these terms.

You agree:

• Not to misuse the app (e.g., reverse engineering, spamming, automated scraping).
  
• Not to upload offensive, harmful, or unlawful content.
  
• To keep your login credentials secure and not share your account.
  

3. Account and User Data

You are responsible for your Sayzi account. If you suspect unauthorized access or misuse, notify us immediately at support@sayzi.app.

Use of your data is governed by our Privacy Policy, which includes details on data collection, storage, and rights under applicable laws (e.g., GDPR, CCPA).

4. Intellectual Property

All Sayzi content—including lessons, mascots (e.g., Pip), illustrations, audio, and branding—is owned by Sayzi or its licensors and protected by copyright and trademark laws.

You may not:

• Copy, reproduce, or redistribute any part of the app or website.
  
• Use Sayzi’s name, logo, or assets without prior written permission.
  

5. In-App Purchases and Subscriptions

Some features of Sayzi are free; others require a subscription or one-time payment. By purchasing, you agree that:

• Fees are non-refundable unless required by law.
  
• Subscriptions auto-renew unless canceled before the renewal date.
  
• Your payment provider’s terms apply.
  

All pricing is listed in local currency and may be subject to taxes or foreign exchange fees.

6. User-Generated Content

By submitting voice recordings or speech samples, you expressly consent to our collection, analysis, and processing of that data, including anonymized aggregation for research, product improvement, and commercial purposes.

You are responsible for the content you submit and agree not to submit anything infringing or unlawful.

7. Use of Speech Data

By using Sayzi, you acknowledge and agree that we may collect, store, and process audio recordings, transcripts, and related user-generated content. We may anonymize and aggregate this data to:

•  improve and personalize the Sayzi learning experience,
•  develop new features and services, and
•  generate insights, analytics, or reports for research, educational, and commercial purposes.

8. Third-Party Services

Sayzi may integrate with or rely on third-party services, including but not limited to login/authentication providers, analytics platforms, cloud hosting, payment processors, and AI technology providers.

By using Sayzi, you agree that:

• We may share necessary data with these providers to deliver and improve the Sayzi service.
• Such providers may process, store, or transfer your data in accordance with their own terms and privacy policies.
• We may also share anonymized and aggregated data with research, educational, or commercial partners for the purposes of improving English language learning, developing new features, and advancing AI technologies.
• Sayzi is not responsible for the content, policies, or functionality of any third-party services.
  
  

Your use of third-party services is subject to their applicable terms and conditions, in addition to these Terms.

9. Availability and Changes

We aim to provide a stable service, but we may:

• Suspend or restrict the app for maintenance or updates,
  
• Modify features or content without prior notice,
  
• Discontinue services in part or whole.
  
  

We are not liable for service interruptions or loss of data.

10. Limitation of Liability

To the extent permitted by law, Sayzi is provided “as is” and “as available” without warranties of any kind. We make no guarantees regarding accuracy, reliability, availability, or outcomes.

You acknowledge that Sayzi may generate automated or AI-driven responses. While we aim for accuracy and usefulness, these outputs may not always be correct, complete, or suitable for your specific situation. You should not rely solely on AI-generated content for critical or high-stakes decisions.

We are not liable for:

• indirect or incidental damages,
  
• data loss,
  
• educational outcomes, or
  
• content generated by users or AI.

Your sole remedy is to stop using Sayzi.

11. Termination

We may suspend or terminate your access to Sayzi, with or without notice:

• if you breach these Terms, misuse the platform, or engage in conduct that we reasonably believe is harmful, unlawful, or inconsistent with the intended use of Sayzi, or
• for any reason at our sole discretion, including if we discontinue the service in part or whole.
  
  

Upon termination, your right to use Sayzi will immediately cease. The following sections will survive termination: Intellectual Property, User-Generated Content, Use of Speech Data, Third-Party Services, Limitation of Liability, Indemnity, Export Compliance and Restricted Use, and Governing Law.

12. Changes to These Terms

We may update these Terms periodically. We'll notify you of significant changes via the app or website. Continued use after changes means you accept the updated Terms.

13. Export Compliance and Restricted Use

You may not use Sayzi in any jurisdiction or for any purpose prohibited by applicable export control laws, trade sanctions, or other regulations. This includes, without limitation, restrictions on use in certain countries or by certain prohibited individuals or entities.

14. Indemnity

You agree to indemnify, defend, and hold harmless Sayzi, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• your use or misuse of Sayzi,
  
• your violation of these Terms, or
• your violation of any applicable law or the rights of a third party.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Western Australia, Australia, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Western Australia to resolve any legal matter arising from these Terms or your use of Sayzi. Users outside Australia are responsible for compliance with their own local laws.
